These Terms of Service ("Terms") govern your participation in the ChargeLab Rewards Program (the "Program"). By participating in the Program, you agree to these Terms, ChargeLab’s Terms and Conditions, and our Privacy Policy. Please read all applicable terms carefully.

1. Program Overview

The Program rewards eligible Canadian electric-vehicle owners who connect qualified electric vehicle chargers to the ChargeLab platform and permit ChargeLab Inc. (“ChargeLab,” “we,” “our,” or “us”) to generate and monetize carbon credits based on residential charging energy consumption. Participants may receive monetary incentives in exchange for their participation.

2. Eligibility Requirements

To qualify for the Program, you must meet all of the following criteria:

• Be a legal resident of Canada;
• Be the owner of a qualifying home charger used at a single-family residence in Canada;
• Be at least the age of majority in your province or territory;
• Use a charger that supports the Open Charge Point Protocol (“OCPP”) version 1.6 or newer;
• Ensure the charger is connected to the internet and remains actively connected to the ChargeLab application
• Register the charger under a unique ChargeLab account (limit one account per charger);
• Use the charger exclusively for residential charging purposes.
• Participation is not permitted for fleet, commercial, multi-tenant, or shared-use chargers.

3. Enrollment & Data Consent

To enroll in the Program:

1.  Visit the ChargeLab Rewards Program sign-up page.
2.  Submit the sign-up form, providing your name, email address, charger brand and model, and installation location.
3.  If your charger is compatible and eligible, you will receive an email with next steps and a request to connect your charger to the ChargeLab platform.
4.  After successful connection and validation, your charger will be enrolled and you will receive a CAD $25 welcome reward.
   
   

By enrolling, you consent to:

• ChargeLab collecting and using charging data (e.g., kWh delivered, timestamps, diagnostic info) for the purpose of carbon credit generation, program administration, product improvement, and other uses consistent with our Privacy Policy;
• The sharing of data with third parties where required for carbon credit certification or regulatory reporting;
• International data transfers and processing.

You may withdraw consent at any time by discontinuing participation. ChargeLab does not guarantee that your charger will be connectable or compatible. No compensation will be provided for failure to connect.

4. Incentives

Qualified Participants are eligible to receive:

• CA $25.00 one-time bonus after successful initial connection, after July 9, 2025, of their charger and confirmation of registration;

• CA $0.03 per kWh of qualifying residential charging, calculated and disbursed quarterly.

Incentives will be provided via digital gift cards or other delivery methods selected by ChargeLab. Terms and conditions for the use of the gift cards will be included in the email sent with the gift card. Gift card options may vary and may include expiration dates and redemption restrictions. The minimum reward payout amount is CA $5.00. If the amount accrued in a given quarter is less than $5.00, there will be no reward payout for the quarter.

Incentives are subject to eligibility and data verification (see Section 6).

5. Calculation & Payments

Rebates are calculated as:

(Total qualifying kWh during quarter) × $0.03,

rounded to the nearest cent.

6. Program Limits & Conditions

• Government dependency. Program continuation depends on Canada’s Clean Fuel Regulations (“CFR”) or successor carbon credit frameworks. If, for any reason, your electric vehicle charger is deemed ineligible to generate carbon credits under CFR, you may be unenrolled from the Program.
• Fraud prevention. ChargeLab reserves the right to withhold, adjust, or revoke incentives due to suspected fraud, ineligible data, misuse, or noncompliance.
• Disconnection. Chargers must remain connected; periods of disconnection may result in missed or forfeited rebates.

7. Program Modification & Termination

ChargeLab may modify these Terms, rebate rates, eligibility rules, or any other Program aspect at any time. We will notify you of material changes via the email associated with your ChargeLab account.

ChargeLab may suspend or terminate the Program or your participation with at least 30 days’ notice. In the event of termination, ChargeLab will provide a final payout for accrued but unpaid incentives up to the effective termination date, unless disqualified for fraud or breach of these Terms.

8. Limitation of Liability

To the fullest extent permitted by law, ChargeLab shall not be liable for indirect, incidental, consequential, or punitive damages. Our total liability under this Program will not exceed CAD $100 or the value of rebates paid to you in the previous twelve months, whichever is greater.

9. Disclaimers

This Program is provided "as is" without warranties of any kind. We make no guarantees as to availability, connectivity, or fitness for a particular purpose.

10. Governing Law

These Terms shall be governed by the laws of Ontario and the federal laws of Canada applicable therein. Disputes shall be subject to the jurisdiction of courts located in Toronto, Ontario, except where prohibited by law. Consumers in jurisdictions with overriding statutory rights shall retain those rights.
